These Terms and Conditions (“Terms”) govern your access to and use of the Site, purchase of Nuance Dragon software products (including Dragon Professional, Dragon Legal, Dragon Medical, Dragon Anywhere, and related services), downloads, updates, and associated support.
By accessing or using the Site, placing an order, downloading, installing, or using any Dragon software, you agree to be bound by these Terms. If you do not agree, do not use the Site or the Software.
1. Definitions
- “Dragon” / “we” / “us” means Nuance Dragon Software. or its affiliates (now part of Microsoft group for many Dragon products).
- “Software” means Dragon speech recognition desktop software (e.g., Dragon Professional v16, Dragon Legal v16) and/or cloud-based services (e.g., Dragon Medical, Dragon Professional Anywhere).
- “Licensee” / “you” means the individual or entity purchasing or using the Software.
- “Subscription” means time-limited access to cloud-hosted Dragon services.
2. License Grant
Dragon grants you a limited, non-exclusive, non-transferable (except as expressly permitted), revocable license to use the Software solely for your internal business or personal purposes, subject to the restrictions below and any product-specific End User License Agreement (“EULA”) presented during installation or activation.
- Desktop Products (one-time purchase): Perpetual license for the version purchased, limited to the number of authorized users/seats purchased.
- Subscription Products (Dragon Anywhere etc.): License is valid only during the active paid subscription period.
3. Restrictions
You may not:
- Copy, reproduce, modify, adapt, translate, reverse engineer, decompile, disassemble, create derivative works from, or attempt to discover source code of the Software (except to the extent permitted by mandatory law)
- Rent, lease, lend, sublicense, sell, resell, distribute or otherwise commercially exploit the Software
- Use the Software on more computers/users than the license allows
- Remove, obscure, or alter any proprietary notices, trademarks, or copyright notices
- Use the Software for any unlawful purpose, to infringe third-party rights, or in violation of export control laws
- Use any automated means (bots, scrapers, etc.) to access the Site or cloud services
4. Ownership
All title, intellectual property rights, and interest in the Software, documentation, voice models, and any related services remain the exclusive property of Dragon Software. The Software is licensed, not sold.
5. Activation & Internet Connection
Many Dragon products require online activation and periodic internet connection for license validation, updates, and/or cloud-based features. Lack of internet may limit functionality after a grace period.
6. Subscriptions & Payments
- Subscriptions auto-renew unless cancelled according to the policy displayed at purchase.
- All fees are non-refundable except as expressly stated.
- Prices exclude applicable taxes, which you are responsible for.
- We may modify subscription pricing with at least 30 days’ notice (email or in-product).
7. Termination
We may suspend or terminate your license/account immediately if you breach these Terms. Upon termination, you must cease all use and destroy/uninstall all copies of the Software.
8. Limited Warranty
Desktop Products — 30-day limited warranty from purchase date that the media will be free from defects. Replacement is sole remedy.
All Software — provided “AS IS” except as required by mandatory consumer law. Nuance Dragon Software disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Nuance Dragon Software’s total aggregate liability arising from or related to the Software or these Terms shall not exceed the amount you paid for the Software/license in the 12 months preceding the claim.
Nuance Dragon Software shall not be liable for any indirect, special, incidental, consequential, punitive, or exemplary damages (including loss of profits, data, business interruption, personal injury, privacy, or security breaches), even if advised of the possibility.
10. Accuracy & Voice Data (Important)
Speech recognition accuracy depends on many factors (microphone quality, accent, background noise, vocabulary training, etc.). Nuance Dragon Software does not guarantee any specific accuracy level.
For cloud-based products (Dragon Medical / Professional Anywhere):
- Voice audio may be sent to Nuance Dragon Software servers for processing.
- Review the separate Privacy Notice and Data Processing terms for details about voice data handling, retention, and use for improving the service.
11. Updates & Support
- We may provide software updates/patches at our discretion.
- Support availability varies by product edition and purchase channel (standard support usually 90 days from purchase; extended support plans available separately).

12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Massachusetts, USA (for U.S. customers) or England & Wales (for UK/EU customers), excluding conflict of law rules.
Any disputes shall be resolved exclusively in the state/federal courts located in Boston, Massachusetts (U.S.) or London, England, unless mandatory consumer protection law provides otherwise.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes (via email, in-product notice, or website posting). Continued use after changes constitutes acceptance.
